Terms of the «Secure Deal»

Company: PROMFREE LLC, identification number in the Entrepreneurial Register of Georgia: 445849486, Georgia (hereinafter — the Company).

These Terms of the «Secure Deal» govern the settlement procedure between Specialists and Clients using the secure payments service and are an integral part of the Agreement for Specialists and Organizations.

The «Secure Deal» is a service that allows the Client to pay for the Specialist’s services into the account of a licensed banking or payment partner of the Company (hereinafter — the Partner Bank).

Important: the Company does not hold or dispose of Clients’ funds. All funds are held in the accounts of the Partner Bank, licensed by the National Bank of Georgia.

• The Client posts an order and selects the «Secure Deal» option.
• The Client makes a payment to the Partner Bank’s account.
• The Partner Bank holds the funds until the Specialist confirms completion of the work and the Client accepts the work.
• After completion and acceptance are confirmed, the funds are transferred to the Specialist.
• In the event of a dispute, the funds remain in the Partner Bank’s account until the dispute is resolved in accordance with the Dispute Resolution Policy.

The Company acts solely as an intermediary providing the technical platform and coordinating the process. The Company:

• Is not a party to the contract between the Specialist and the Client.
• Does not hold funds.
• Is not responsible for the quality of the Specialist’s services.
• Does not guarantee the performance of obligations by the parties to the deal.

The Partner Bank is a licensed financial institution of Georgia that:

• Accepts and holds the Client’s funds.
• Transfers the funds to the Specialist after the work is confirmed as completed.
• Refunds the funds to the Client in the event the deal is cancelled or the dispute is resolved in the Client’s favour.

The Specialist is solely responsible for paying taxes and duties on the remuneration received in accordance with the legislation of Georgia.

The Company does not act as the Specialist’s tax agent and does not withhold taxes from payments.

The amount of the fee for using the «Secure Deal» service is specified in the personal account and may vary depending on the plan and the amount of the deal.

The fee is withheld by the Company or the Partner Bank at the moment funds are transferred to the Specialist.

Cancellation of the deal and refund of funds are possible in the cases provided for by the Agreement and the Dispute Resolution Policy.

The refund is made by the Partner Bank to the details from which the payment was made, within the timeframes established by the Partner Bank’s rules.

The Company reserves the right to change these Terms. The new version takes effect from the moment it is published on the Service.

All disputes related to the «Secure Deal» are considered in accordance with the Dispute Resolution Policy and the legislation of Georgia.
